A defining characteristic of federally qualified health centers like School Health Clinics, is their consumer governance mandate, which requires that at least 51% of the governing board consist of consumers (i.e., patients) of the organization. The goal is to have a Board of Directors that is diverse to ensure a broad range of perspectives and good dialogue, and who collectively have the values, competencies, and commitment required to govern the organization effectively.
Board members play a critical role in helping us deliver health care to those in our community who need it most. A board member must be willing to share professional expertise, volunteer experience, and personal networks for the advancement of the organization’s goals. Expectations of board members:
- Attend meetings of the Board of Directors (in-person or by phone), arriving on time and prepared to participate effectively with peers and staff.
- Attend at least 9 meetings per year.
- Serve on at least one committee (as a member or chair) including attending committee meetings and undertaking tasks. In making committee assignments the preference of the board member will be taken into consideration. The committee assignment may be a standing committee or involve a single event or function. Committees include:
- Executive/Finance Committee
- Audit Committee
- Resource Development (as needed)
- Board Recruitment and Development (as needed)
- Quality Improvement Committee
- Clinic Committee
- Behavioral Health Committee
- Make a financial contribution to the organization that is meaningful to self.
- Participate with staff in strategic and operational planning, including:
- Approval of services and hours of operation
- Approval of the policies and procedures for the organization
- Approval of the annual budget
- Select, support, and evaluate the Chief Executive Officer
- Help meet the federal Health Resources and Services Administration (HRSA) requirement of a consumer majority of board members by utilizing clinic services.
- Support the fund development activities of the board by actively participating in one or more of the following fundraising strategies:
- Identify, cultivate, and solicit prospective sponsors, donors, and special event participants
- Attend special cultivation and fundraising events
- Represent the organization proudly and positively at community events and with individuals outside of School Health Clinics of Santa Clara County. Share with the CEO information about opportunities that would help the organization respond to the community needs.
- Monitor the organization’s financial information in a responsible manner in accordance with established policies and procedures.
- Perform periodic self-evaluation of the board and the organization as a whole.

- Accurate and timely reports from staff to support overall decision making
- A positive and close working relationship with staff members who are knowledgeable, dedicated, and who respect the board member’s time and effort
- An atmosphere that welcomes new ideas, respects individuals, supports the achievement of personal and professional objectives and supports the opportunity to network with other key leaders who have a similar desire to serve the community
- Appreciation for sincere efforts toward the accomplishment of mutual objectives
- The sense of achievement that comes from working with other committed individuals to provide a service and program critically needed by the organization and the community
- Support and resources to become an active and successful board member.
